Business: To consider and, if thought fit, approve by special resolution the adoption of a new Constitution for ANZEA.
Proposed special resolution
That the Association adopt the draft Constitution of the Aotearoa New Zealand Evaluation Association Incorporated (ANZEA) dated [March 2026], in place of the current Constitution as amended July 2016, with effect from the date of registration by the Registrar of Incorporated Societies.

Why we are changing the Constitution

To comply with the Incorporated Societies Act 2022 and the new requirements for constitutions, officer duties, conflicts of interest, dispute resolution and financial reporting.

To modernise and clarify our governance settings – including Board size and structure, staggered terms, and clearer membership provisions.

To reflect how ANZEA actually works in practice and strengthen our commitment to Te Tiriti o Waitangi, diversity and inclusion, and good governance.
